• The chances of winning depend upon the number of points accumulated.
• Prizes will be awarded to Contestants with the most points. Points are awarded based on the sale of Upward’s 4-week Creator Series. For each 4-week Creator Series sale made through the Contestant’s Affiliate Link, the Contestant receives one-point for every dollar in revenue collected by Sponsor.
• The deadline for contest entries is March 14, 2023 at 9 p.m. (EST). Prize winners will be selected on April 14, 2023, at Digital Mentors’ office in Austin, Texas.
• The complete contest rules are below.

SPONSOR AND ADMINISTRATOR: The Sponsor of the Contest is Upward Enterprises, LLC (“Sponsor”). The administrator of the Contest is Upward Enterprises, LLC (“Administrator”). Sponsor and Administrator are collectively referred to herein as “Contest Entities.” Administrator will conduct the Contest substantially as described in these Official Rules. By participating in the Contest each entrant agrees as follows:

ENTRY PERIOD: The Contest begins on February 22, 2023 at 8 pm (EST) and ends March 14, 2023 at 9 pm (EST).

METHOD OF ENTRY: The purpose of the Contest is to award prizes to eligible MLSP affiliates (“Contestants”) whose referrals result in sales of Upward’s 4-week Creator Series during the Entry Period. For each 4-week Creator Series sale made through the Contestant’s Affiliate Link, the Contestant receives one point (a “Point”). Any transaction for which Upward does not actually receive funds for the sale—whether because of a refund, chargeback, credit, or otherwise—does not qualify as a Qualified Transaction. If you sell the 4-week Creator Series via a payment plan, only the processed payment before March 14th, 2023 at 9 PM EST will count towards the Contest. Only one Contestant will receive credit for a sale. Credit for sales will be determined by analyzing the affiliate link associated with the purchase. Credit for the purchase is not correlated to any relationship that the purchaser has with any third party (for example, a party receiving a commission from the purchaser’s payments). Contest Entities will identify winners of the Contest by totaling points associated with Contestant’s Qualified Sales. In the event of a tie, winners will be determined by the Contest Administrator.

If, in the Administrator’s opinion, (a) there is any suspected or actual evidence of tampering with any portion of the Contest or a computer virus, bug, unauthorized intervention, fraud, or technical difficulty; (b) failures compromise, corrupt, or affect the administration, integrity, security, fairness, or proper conduct of the Contest; or (c) the Contest is not capable of being conducted as described in these Official Rules, Contest Entities shall have the right, at their sole discretion, to disqualify any individual who tampers with the process or to cancel, terminate, modify, or suspend this Contest as deemed fair and appropriate by Contest Entities. If the Contest is canceled, modified, suspended, or terminated, notice will be posted on the Sponsor’s website.

ELIGIBILITY: A Contestant who currently resides in a region in which participation in this contest complies fully with all applicable laws and is at least 18 years of age at the time of entry is eligible. The Contest is void in Quebec and where prohibited by law. The Contest may only be entered from and in eligible jurisdictions. To be eligible, a Contestant must agree to comply with and be bound by these Official Rules and the decisions of the Contest Entities, which are final and binding in all respects. Failure to comply with these Official Rules may result in disqualification from the Contest. Contest Entities and each of their respective parent companies, affiliates, subsidiaries, successors, assigns, agents, representatives, officers, directors, shareholders, and employees, and any entity involved in the development, production, implementation, administration, judging, or fulfillment of the Contest including, without limitation, the immediate family members or those persons living in the same household of such individuals, are not eligible to participate.

There will be only one prize per winner. Lost or stolen prizes will not be replaced. Prizes do not include any other item or expense not specifically described in these Official Rules, and all additional expenses including, without limitation, travel expenses, if any, are the sole responsibility of winner. Prizes may not be transferred or assigned. Only listed prizes will be awarded, and no substitutions will be made. Prize winners may elect to receive cash instead of the listed item, with the cash amount equal to 75% of the indicated approximate value. A prize cannot be used in conjunction with any other promotion or offer.

The value of any prize awarded to a winner may be reported for tax purposes as required by law. Each winner is solely responsible for reporting and paying any and all applicable taxes, fees, and costs. Each winner must provide Administrator with a valid taxpayer identification number or social security number before any prize will be awarded.

SELECTION OF WINNERS: The prize winners will be selected and announced on April 14, 2023. The identification of the winners will be determined by Administrator, whose decisions and interpretations on all matters relating to the Contest and these Official Rules are final and binding in all respects. Administrator reserves the right to disqualify any participant or winner and may refuse to award any prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the Contest, or obtained winner status using fraudulent means.

Odds of winning a prize depend on the number of eligible entries received. If a potential winner is disqualified or declines the prize, Contest Entities may select an alternate winner.

If a potential winner is a Canadian resident, upon notification, the selected entrant, must, unaided, correctly answer a time-limited mathematical skill-testing question. In the event that a selected entrant is unable to answer the skill-testing question correctly, the Administrator shall have the right to disqualify said entrant and to randomly draw another eligible entry, and the Administrator shall be fully and completely released and discharged from any liability or responsibility in this regard.

Winners will be required to complete, sign, notarize, and return an affidavit of eligibility and liability and publicity release, which must be returned, properly executed, within fourteen days of issuance of prize notification. If these documents are not returned properly executed, or are returned to Administrator as undeliverable, or if any given prize winner does not otherwise comply with the Officials Rules, the prize will be forfeited and awarded to an alternate winner.

GENERAL CONDITIONS: Contest Entities and their respective parents, subsidiaries and affiliates are not responsible for (i) late, lost, delayed, unclear, unintelligible, incomplete, misdirected, or ineligible sales information, which will be disqualified; (ii) technical, hardware, software, or telephone malfunctions of any kind; (iii) lost or unavailable network connections; (iv) failed, incorrect, incomplete, inaccurate, garbled, or delayed electronic communications caused by the sender, or by any of the equipment or programming associated with or utilized in the Contest which may limit the ability to play or participate; or (v) by any human error that may occur in the processing of the entries in the Contest. ANY PERSON ATTEMPTING TO DEFRAUD ADMINISTRATOR OR SPONSOR OR IN ANY WAY TAMPER WITH, DAMAGE, OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST WILL BE DISQUALIFIED AND MAY BE SUBJECT TO CIVIL LIABILITY AND CRIMINAL PROSECUTION.

LIMITATION OF LIABILITY & RELEASE: By participating in the Contest, entrants agree to indemnify and hold harmless the Contest Entities and each of their respective parent companies, affiliates, subsidiaries, members, managers, successors, assigns, agents, representatives, officers, directors, shareholders, and employees (collectively, “Releasees”) from and against any and all injuries, losses, damages, claims, and actions of any kind arising from or relating to participation in the Contest, or acceptance, possession, use, misuse, or nonuse of the prize that may be awarded, including, without limitation, actual, direct, indirect, consequential, punitive, special, or other damages. IN NO EVENT WILL THE CONTEST ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING OUT OF ANY ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR PARTICIPATION IN, ANY PRIZE AWARDED IN CONNECTION WITH THE CONTEST. WITHOUT LIMITING THE FOREGOING, ALL PRIZES, AND ALL MATERIALS PROVIDED ON OR THROUGH THE SITES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OFFICIAL RULES: For a copy of the Official Rules, Contestants are hereby authorized to copy these official rules on the condition that it will be for their personal use and not for any commercial purpose whatsoever.

WINNER’S LIST: A winner’s list is available only within sixty days after the close of the Contest. The list will be displayed in the Digital Mentors Backoffice (online) and distributed by email.

MISCELLANEOUS: All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the Contestant and Contest Entities in connection with the Contest, shall be governed by, and construed in accordance with, the laws of Texas without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of Texas, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas. Venue for the disposition of any legal action that may arise out of a claim relating to the Contest shall be proper only in Travis County, Texas.

The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group, or Contest Entity, or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group or Contest Entity or the manufacturer or distributor of such product or service and, except as otherwise indicated no association or endorsement is intended or should be inferred.
